Terms of Service for Software Access

These Terms of Service, together with any order form, checkout page, invoice, payment authorization, subscription terms, product description, risk disclosure, privacy policy, website notice, or other terms incorporated by reference, form a binding legal agreement between you and Sovereign Geld General Partner LLC, a Wyoming limited liability company, including its owners, officers, managers, members, employees, contractors, affiliates, service providers, vendors, licensors, successors, and assigns, referred to in these Terms as the “Company,” “we,” “us,” or “our.”

These Terms govern your access to and use of the Company’s website, software, trading-related technology, executable files, Expert Advisor files, automation tools, downloadable files, documentation, private access key system, setup portal, customer communications, related services, and any updates, modifications, replacements, or related materials made available by or through the Company, collectively referred to as the “Software” or the “Services.”

By accessing the website, purchasing the Software, selecting a checkout option, entering payment information, starting a free trial, downloading the Software, installing the Software, using a private access key, loading the Software into MetaTrader 5 or any other trading platform, enabling automated or algorithmic trading, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, do not purchase, download, install, activate, or use the Software.

1. Important Notice

The Software is a technology tool. It is not an investment advisory service, financial planning service, managed account service, brokerage service, commodity trading advisory service, commodity pool, investment fund, securities offering, futures offering, solicitation to buy or sell securities, solicitation to trade commodities, solicitation to trade foreign exchange, or recommendation to enter into any transaction.

You are solely responsible for deciding whether to purchase, install, activate, configure, enable, disable, monitor, modify, or discontinue use of the Software. You are solely responsible for deciding whether to trade, what account to use, how much capital to allocate, whether to use automated trading, whether to use manual trading, whether to accept any risk, whether to continue using the Software, and whether to stop using the Software.

The Company does not make trading decisions for you. The Company does not manage your account. The Company does not provide individualized investment advice. The Company does not act as your broker, investment adviser, commodity trading advisor, financial planner, fiduciary, agent, custodian, trustee, or account manager. Any trading activity in your account is your responsibility.

Trading involves substantial risk. You can lose some or all of your money. You should not trade with money you cannot afford to lose.

2. Separate Business Divisions and No Fund Relationship

Sovereign Geld General Partner LLC may be associated with, manage, sponsor, control, advise, operate, or participate in other businesses, funds, investment vehicles, private offerings, trading programs, financial businesses, technology projects, or commercial ventures.

The purchase or use of the Software does not make you an investor in any investment fund, private fund, commodity pool, hedge fund, partnership, limited partnership, limited liability company, feeder fund, master fund, managed account program, investment advisory program, commodity trading advisory program, or other investment vehicle.

Purchasing the Software does not create any ownership interest, partnership interest, membership interest, limited partner interest, shareholder interest, profit participation, revenue share, advisory relationship, fiduciary relationship, or managed account relationship with the Company or any affiliated investment fund or business.

Any investment fund or private offering managed by or associated with the Company is separate from the Software business. Software customers are not fund investors merely by purchasing the Software. Fund investors are not Software customers unless they separately purchase or receive access to the Software under separate terms.

The Company may use similar names, personnel, strategies, technology, concepts, infrastructure, service providers, software logic, or trading-related intellectual property across separate business lines, but those business lines remain separate. Your rights are limited to the Software access expressly purchased by you.

3. Eligibility

By purchasing, downloading, installing, or using the Software, you represent and warrant that:

  1. You are at least 18 years old.

  2. You have legal capacity to enter into a binding contract.

  3. You are not prohibited by law from using trading software, automated trading tools, MetaTrader 5, foreign exchange trading systems, futures trading systems, contracts for difference, brokerage accounts, or related technologies.

  4. You are responsible for complying with all laws, rules, regulations, broker requirements, tax rules, exchange rules, platform rules, account agreements, and other restrictions applicable to you.

  5. You are not relying on the Company for legal, tax, investment, accounting, financial, regulatory, or trading advice.

  6. You understand that the Software may place, manage, attempt to place, attempt to close, modify, or otherwise interact with orders or positions if you enable automated trading and configure it to do so.

  7. You understand that you can lose money using the Software.

  8. You have sufficient knowledge, experience, or professional support to evaluate the risks of trading.

  9. You will not use the Software in any jurisdiction, account, broker, platform, or manner where such use is unlawful or prohibited.

The Company may refuse, suspend, terminate, limit, or revoke access to the Software at any time if it believes, in its sole discretion, that a customer is ineligible, has violated these Terms, poses legal or regulatory risk, creates operational risk, has misused the Software, has attempted to reverse engineer the Software, has failed to pay amounts owed, or has otherwise acted in a manner inconsistent with the Company’s interests.

4. Description of the Software

The Software may include downloadable executable files, MetaTrader 5 Expert Advisor files, trading automation tools, access tokens, private keys, code, compiled files, indicators, scripts, backend infrastructure, signal-related infrastructure, setup pages, documentation, updates, or related materials.

The Software may be designed to interact with MetaTrader 5, broker platforms, trading accounts, or third-party systems. The Company does not control MetaTrader 5, your broker, your trading account, market data providers, exchanges, liquidity providers, order routing systems, internet service providers, cloud providers, virtual private servers, your computer, your operating system, your antivirus software, or any other third-party infrastructure.

The Software may depend on third-party platforms, credentials, internet connections, WebRequest settings, account permissions, trading permissions, broker symbols, market hours, margin availability, account balance, trade permissions, server behavior, and platform configuration. The Company does not guarantee compatibility with every broker, account type, trading symbol, server, instrument, platform build, device, or operating environment.

The Software may fail to install, fail to compile, fail to run, fail to register, fail to connect, fail to receive instructions, fail to place trades, place trades differently than expected, fail to close positions, close positions differently than expected, submit duplicate orders, miss orders, encounter market-closed errors, encounter insufficient-margin errors, encounter broker rejection errors, encounter symbol errors, or otherwise behave unexpectedly.

You accept these risks.

5. No Investment Advice or Fiduciary Relationship

The Software is provided as a self-directed technology tool. The Company does not provide personalized investment advice to Software customers.

The Company does not evaluate your financial situation, investment objectives, income, net worth, tax status, investment horizon, liquidity needs, risk tolerance, suitability, investment restrictions, regulatory status, trading experience, or personal circumstances.

Any information provided by the Company, including website content, advertisements, videos, examples, demonstrations, explanations, performance discussions, backtests, hypothetical examples, risk explanations, product descriptions, onboarding instructions, software documentation, support responses, or general educational materials, is general in nature and is not individualized investment advice.

You acknowledge that:

  1. You are not relying on the Company to determine whether trading is suitable for you.

  2. You are not relying on the Company to determine whether automated trading is suitable for you.

  3. You are not relying on the Company to determine how much money to allocate.

  4. You are not relying on the Company to determine whether to trade foreign exchange, futures, commodities, contracts for difference, securities, or any other instrument.

  5. You are not relying on the Company to determine your risk limits.

  6. You are not relying on the Company to monitor your account.

  7. You are not relying on the Company to stop trading, close trades, hedge trades, reduce risk, or prevent losses.

You should consult your own financial adviser, investment adviser, commodity trading adviser, attorney, tax adviser, accountant, broker, or other professional before using the Software.

6. Customer Control and Responsibility

You are solely responsible for all decisions related to your trading account and use of the Software.

This includes, without limitation:

  1. Selecting your broker.

  2. Opening and maintaining your trading account.

  3. Funding your account.

  4. Choosing whether to use the Software.

  5. Choosing whether to enable automated trading.

  6. Choosing whether to attach the Software to a chart or account.

  7. Choosing which account, server, instrument, symbol, or broker environment to use.

  8. Choosing the timing of use.

  9. Choosing whether to monitor the Software.

  10. Choosing whether to stop the Software.

  11. Choosing whether to close trades manually.

  12. Choosing whether to remove the Software.

  13. Choosing whether to continue trading after losses.

  14. Choosing whether to use a demo account or live account.

  15. Choosing whether the Software is suitable for your circumstances.

You may turn the Software on or off at any time, subject to platform and broker limitations. You understand that turning the Software on, enabling algorithmic trading, allowing WebRequest access, attaching the Software to a chart, or otherwise configuring the Software may allow automated activity in your account. You are responsible for monitoring that activity.

You are solely responsible for all profits, losses, fees, commissions, spreads, slippage, financing charges, swap charges, margin calls, liquidations, tax consequences, broker restrictions, platform errors, and other results in your account.

7. Trading Risk Disclosure

Trading foreign exchange, futures, commodities, contracts for difference, leveraged instruments, margin products, securities, digital assets, and other financial instruments involves substantial risk. You can lose all of your account equity and, in some circumstances, more than your initial investment.

Risks include, without limitation:

  1. Market risk.

  2. Leverage risk.

  3. Margin call risk.

  4. Liquidation risk.

  5. Volatility risk.

  6. Gap risk.

  7. Liquidity risk.

  8. Slippage risk.

  9. Execution risk.

  10. Broker risk.

  11. Counterparty risk.

  12. Platform risk.

  13. Technology risk.

  14. Internet connectivity risk.

  15. Server risk.

  16. Power failure risk.

  17. Data error risk.

  18. Symbol mapping risk.

  19. Automated trading risk.

  20. Strategy failure risk.

  21. Model risk.

  22. Backtest overfitting risk.

  23. Tax risk.

  24. Regulatory risk.

  25. Operational risk.

No trading software can eliminate risk. Automated trading can create additional risks because orders may be entered, modified, or closed quickly and without manual confirmation. Software errors, incorrect settings, market disruptions, broker restrictions, account limitations, or connectivity failures may cause losses.

You acknowledge that losses are a normal and expected part of trading and investing. You agree that the Company is not liable for trading losses, missed profits, missed opportunities, account drawdowns, margin calls, liquidations, broker errors, platform errors, or any other trading outcome.

8. No Guarantee of Profit or Performance

The Company does not guarantee profits, returns, account growth, performance, risk reduction, drawdown limits, recovery from losses, trade accuracy, signal accuracy, uptime, execution quality, win rate, risk-adjusted return, or any particular financial result.

No statement by the Company should be interpreted as a guarantee or promise that you will make money or avoid losses.

Any examples, illustrations, screenshots, marketing materials, backtests, hypothetical results, simulated performance, historical performance, forward tests, demo results, live account examples, case studies, expected outcomes, average returns, model returns, charts, or performance-related statements are for informational and educational purposes only and do not guarantee future results.

Past performance is not necessarily indicative of future results.

Hypothetical or simulated performance has inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading. Simulated results may understate or overstate the impact of market factors, liquidity, slippage, commissions, fees, spreads, order execution, latency, broker restrictions, and other conditions. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.
